1. Acceptance of Terms
By accessing or using Socilot ("the Service"), operated by INFO MEDIA d.o.o., Širolina ulica 9, 52100 Pula, Croatia, VAT ID: HR33583811286 ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
Socilot is a social media management platform that allows users to create, schedule, and publish content across multiple social media platforms using AI-assisted tools. The Service acts solely as a tool — we are a technology provider, not a publisher, broadcaster, or content moderator.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration. You must be at least 18 years old to use the Service. You may not create multiple accounts for the purpose of circumventing plan limitations.
4. User Responsibilities and Obligations
You are solely and entirely responsible for:
- All content you create, schedule, publish, or distribute through the Service, whether created manually or generated by AI
- Ensuring your content complies with all applicable laws and regulations in your jurisdiction and the jurisdiction of your audience
- Ensuring your content complies with the terms of service, community guidelines, advertising policies, and content policies of each connected social media platform
- Obtaining all necessary rights, licenses, permissions, and consents for content you publish, including intellectual property rights, publicity rights, and data protection consents
- Any consequences arising from content published through your account, including but not limited to legal claims, platform bans, regulatory penalties, reputational damage, and financial losses
- Maintaining the security of your connected social media accounts and OAuth tokens
- Managing and monitoring your connected third-party platform accounts
- Any damages, claims, or liabilities arising from your use of the Service
- Reviewing and approving all AI-generated content before publication
- Backing up your own content and data
5. Acceptable Use Policy
You agree NOT to use the Service to:
- Publish content that is illegal, defamatory, threatening, harassing, abusive, obscene, fraudulent, or otherwise objectionable under applicable law
- Publish spam, unsolicited advertising, chain letters, or bulk messages
- Impersonate any person, entity, or organization, or falsely state or misrepresent your affiliation
- Violate any applicable law, regulation, or third-party rights, including intellectual property rights, privacy rights, and publicity rights
- Distribute malware, viruses, or harmful code through published content
- Attempt to gain unauthorized access to the Service, other users' accounts, or any related systems
- Circumvent any rate limits, access restrictions, plan limitations, or security measures
- Use the Service in any way that could damage, disable, overburden, or impair any server, network, or system
- Scrape, mine, or extract data from the Service beyond normal use
- Publish content that promotes violence, terrorism, hate speech, self-harm, or discrimination based on race, ethnicity, gender, religion, sexual orientation, disability, or any other protected characteristic
- Publish content involving the exploitation of minors
- Use the Service to engage in market manipulation, securities fraud, or other financial crimes
- Use automated tools (bots, scrapers) to access the Service without our express written permission
- Resell, sublicense, or white-label the Service without a separate written agreement
We reserve the right to suspend or terminate your account immediately and without notice or refund if we reasonably believe you have violated this Acceptable Use Policy.
6. AI-Generated Content
IMPORTANT DISCLAIMER: AI-generated content is produced by third-party artificial intelligence services (including but not limited to Anthropic Claude and OpenAI). We have no control over the output of these AI systems.
You acknowledge and agree that:
- AI-generated content is provided "as-is" without any warranty of accuracy, originality, appropriateness, legality, or fitness for any purpose
- You are solely and entirely responsible for reviewing, editing, verifying, and approving all AI-generated content before publication
- AI-generated content may contain factual errors, outdated information, biased language, misleading statements, or content that infringes third-party rights
- AI-generated content may not comply with platform-specific content guidelines or advertising regulations
- AI-generated content may be similar or identical to content generated for other users or available elsewhere
- We do not review, pre-screen, moderate, or endorse any AI-generated content
- You assume all risk associated with using AI-generated content
- We are NOT liable for any consequences arising from AI-generated content, including but not limited to: platform account suspensions, reputational damage, legal claims, regulatory penalties, loss of business, or any other damages
We do not claim ownership of AI-generated content. However, we make no representations that AI-generated content is original, unique, or free from third-party rights.
7. Content Responsibility
YOU ARE SOLELY AND ENTIRELY RESPONSIBLE for all content that you create, schedule, publish, distribute, or make available through the Service, whether created manually or generated by AI.
We do not review, pre-screen, moderate, approve, or endorse any content before or after publication. We are a tool provider, not a publisher. We have no obligation to monitor content and assume no responsibility for it.
You represent and warrant that all content you publish through the Service:
- Is accurate and not misleading
- Does not infringe any third-party intellectual property rights, privacy rights, or publicity rights
- Complies with all applicable laws and regulations, including advertising regulations, consumer protection laws, and data protection laws
- Complies with the terms of service, community guidelines, and content policies of each connected third-party platform
- Does not contain personal data of third parties without their explicit consent
- Is appropriate for your intended audience
We reserve the right, but have no obligation, to remove or disable access to any content that we reasonably believe violates these Terms or could expose us to liability.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied
- We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability
- We are not responsible for any loss of data, revenue, profits, goodwill, or any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Service
- We are not liable for any actions taken by third-party social media platforms, including account suspension, content removal, algorithm changes, or policy changes
- We are not liable for service interruptions, downtime, or data loss
- Our total aggregate liability for all claims arising from or relating to these Terms or the Service shall not exceed the lesser of (a) the total amount you paid to us in the 3 months immediately preceding the claim, or (b) $100 USD
- We are not responsible for the accuracy, reliability, availability, or security of any third-party services, platforms, or AI systems
- We are not liable for any tax, legal, regulatory, or compliance consequences arising from your use of the Service
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
9. Assumption of Risk
You expressly acknowledge and agree that your use of the Service is entirely at your own risk. You understand that the Service depends on third-party platforms, APIs, and AI services that are outside our control and may fail, change, or become unavailable at any time without notice. You voluntarily assume all risks associated with the use of the Service, including but not limited to risks related to content accuracy, platform compliance, account security, data loss, and business outcomes.
10. Indemnification
You agree to indemnify, defend, and hold harmless INFO MEDIA d.o.o., its officers, directors, employees, contractors, agents, partners, and affiliates from and against any and all claims, demands, damages, losses, costs, liabilities, and expenses (including reasonable legal fees and court costs) arising from or relating to:
- Your use or misuse of the Service
- Your violation of these Terms
- Content you create, publish, schedule, or distribute through the Service
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
- Your violation of any applicable law, regulation, or platform policy
- Your negligence or willful misconduct
- Any claim by a third party related to content you published through the Service
This indemnification obligation survives the termination of these Terms and your use of the Service.
11. Third-Party Platforms
The Service integrates with third-party social media platforms (including but not limited to Facebook, Instagram, LinkedIn, TikTok, Pinterest, YouTube, Reddit, Threads, Bluesky, Mastodon, X/Twitter, Google My Business, Dev.to, and Hashnode). We are not affiliated with, endorsed by, or responsible for these platforms.
Your use of third-party platforms is subject to their respective terms of service and privacy policies. You are solely responsible for complying with the terms of each connected platform, and you acknowledge that platform terms may change at any time without notice.
We are not liable for any changes, disruptions, limitations, or actions imposed by third-party platforms, including changes to their APIs, authentication mechanisms, content policies, or terms of service.
12. Service Availability and Uptime
We do not guarantee any specific uptime, availability, or performance level. The Service may be interrupted, suspended, modified, or discontinued at any time without notice. We are not liable for any losses or damages caused by service unavailability, including but not limited to:
- Missed or delayed content publications
- Failed scheduled posts due to platform API changes or outages
- Loss of connected platform access due to token expiration or revocation
- Data loss during maintenance or system updates
- Errors in AI-generated content, scheduling, or publishing
13. No Guarantee of Results
We make no guarantees regarding the results you may achieve through the Service, including but not limited to:
- Social media engagement, reach, impressions, or follower growth
- Quality, accuracy, legality, or effectiveness of AI-generated content
- Successful publication on any third-party platform
- Compliance of generated content with any platform's policies or applicable laws
- Business outcomes, revenue, return on investment, or lead generation
The Service is a tool. All results depend entirely on the user's decisions, content quality, and external factors beyond our control.
14. Platform Account Risks
You acknowledge and accept that connecting your social media accounts to Socilot carries inherent risks, including:
- Third-party platforms may suspend, ban, or restrict your account at any time for any reason
- Content published through our Service may violate platform-specific rules that change without notice
- OAuth tokens may expire, be revoked, or become invalid, causing publishing failures
- Platform API rate limits may prevent timely publication of scheduled content
- Platforms may change their APIs, rendering parts of our Service temporarily or permanently unavailable
We are not responsible for any consequences to your social media accounts arising from the use of our Service.
15. Data Deletion for Connected Platforms
When you disconnect a third-party platform from the Service, we will:
- Immediately revoke and delete the associated OAuth tokens and credentials
- Delete stored platform-specific user IDs and metadata within 24 hours
- Retain published content metadata (post text, dates, status) for your records
- Not retain or continue to access your platform account data
For platforms that require data deletion callbacks (including Meta/Facebook/Instagram), we provide automated data deletion endpoints as required by those platforms. Upon account deletion, all your data will be permanently deleted within 30 days, except for billing records retained as required by law.
16. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, wars, terrorism, pandemics, epidemics, government actions, sanctions, embargoes, power failures, internet outages, telecommunications failures, third-party service failures, cyberattacks, DDoS attacks, or changes in applicable laws or regulations.
17. Dispute Resolution
Before initiating any legal proceedings, you agree to first attempt to resolve any dispute through informal negotiation by contacting us at support@info-media.it. If the dispute cannot be resolved within 30 days, either party may proceed with formal legal action.
You waive any right to participate in a class action lawsuit, class-wide arbitration, or any other representative action. All disputes must be brought in your individual capacity.
18. Payment and Billing
Paid plans are billed monthly or annually. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' prior notice. Free plans may be modified, limited, or discontinued at any time. Failure to pay may result in account suspension or termination. You are responsible for all taxes applicable to your subscription.
19. Intellectual Property
You retain ownership of content you create. You grant us a limited, non-exclusive, royalty-free license to process, store, transmit, and display your content solely to provide the Service. We retain all rights, title, and interest in the Service, its software, features, designs, documentation, and underlying technology. "Socilot" and associated logos are trademarks of INFO MEDIA d.o.o.
20. DMCA / Copyright Policy
If you believe that content available through the Service infringes your copyright, please contact us at support@info-media.it with:
- A description of the copyrighted work you claim has been infringed
- The URL or location of the infringing content
- Your contact information (name, address, email, phone)
- A statement that you have a good faith belief that the use is not authorized by the copyright owner
- A statement, under penalty of perjury, that the information in your notice is accurate
We will respond to valid copyright claims within 14 business days.
21. Account Suspension and Termination
We reserve the right to suspend, restrict, or terminate your account at any time, with or without notice, with or without cause, for any reason, including but not limited to:
- Violation of these Terms or the Acceptable Use Policy
- Non-payment of fees
- Suspected fraudulent, abusive, or illegal activity
- Excessive use that impacts Service performance for other users
- Upon request from law enforcement or regulatory authorities
- At our sole discretion for any business reason
Upon termination:
- Your right to use the Service ceases immediately
- Scheduled but unpublished posts will not be published
- You may request export of your data within 30 days of termination
- We have no obligation to retain your data after the 30-day period
- No refund will be issued for the remaining subscription period unless required by law
22. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the competent courts of Pula, Croatia.
23. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
24. Entire Agreement
These Terms, together with the Privacy Policy and any applicable subscription or plan terms, constitute the entire agreement between you and INFO MEDIA d.o.o. regarding the Service and supersede all prior agreements, understandings, negotiations, and communications, whether written or oral.
25. No Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of INFO MEDIA d.o.o.
26. Assignment
You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
27. Changes to Terms
We may modify these Terms at any time by posting the revised Terms on our website. Continued use of the Service after any modification constitutes acceptance of the modified Terms. We will notify users of material changes via email or in-app notification at least 14 days before they take effect.
